Partner Agreement — YallaTonight
Between YallaTonight — the website yallatonight.com ("the Platform") — and the venue owner / organiser ("the Partner") signing below. The full registered details of the Platform's operator are published on the site's Contact page and form part of this agreement. The Arabic version is the binding one. This translation is for convenience.1. Nature of the relationship
The Platform is a booking intermediary and a marketing channel only. It is not the organiser, owner or operator of any event, and provides no service at the venue. Its role is to list the Partner's events and collect booking payments on the Partner's behalf. This agreement creates no company, agency or employment relationship between the parties.2. Joining and identity verification
Before any money is paid out, the Partner must provide proof of identity and of its business (national ID or passport, a photograph of the holder with it, and verified bank or wallet details). This is a legal requirement for paying out funds, not a formality. The Platform may refuse or suspend any account whose details are incomplete or shown to be false.3. Accuracy of listings
Partner events are published after a review of the first events only, and automatically thereafter without prior review. Price, date, capacity, description, images, refund policy, minimum age and dress code are therefore the Partner's sole responsibility, and what appears on the event page is what the Partner owes the customer.4. Commission
The Platform earns a commission of 15% of the event value on every completed booking, calculated on the event price alone. The booking fee added to the customer at checkout is entirely the Platform's revenue. It forms no part of the Partner's balance and no part of the commission base. The Partner's share of each booking = event price − commission.5. Collection and payout
The Platform collects the booking price from the customer on the Partner's behalf. The Partner's balance for an event becomes available for withdrawal 3 days after the event takes place, to cover the chargeback and refund window. Payouts are made on the Partner's request, to the verified account or wallet registered in the Partner's own name. The Platform may withhold or deduct from the balance an amount corresponding to: a customer refund, a disputed booking, a fee charged by the payment provider, or any sum owed by the Partner under this agreement.6. Change of commission rate
The Platform may change the commission rate, for one Partner or for all Partners, by this procedure and no other: First: the Partner receives written notice in their dashboard and by email, stating the current rate, the new rate and the date it takes effect. Second: the Partner has 14 days from the date of notice to accept or reject. Third — if accepted: the acceptance is recorded and the partnership continues unchanged. Fourth — if rejected: the Partner's listings stop accepting new bookings and the matter goes to the Platform's administration for review and discussion. This suspension does not affect any booking already made. Fifth — if there is no answer within 14 days: the new rate takes effect. In every case: the new rate applies to new bookings only. Every booking made before the effective date is settled at the rate in force when it was made, even if it is settled later.7. Liability
The Partner is solely and fully responsible for everything that happens at its events: guest safety, security, service, food and drink, and any injury, damage or loss to any person or property. The Platform accepts no liability for any of it. In all cases the Platform's liability to the Partner, whatever its cause, shall not exceed the total commission the Platform collected from that Partner in the three months before the event giving rise to the dispute.8. Licences
The Partner confirms it holds all valid licences, permits and insurance required for its activity and will keep them valid for the term. For events on the water specifically: a valid maritime licence, sufficient life jackets, and no more passengers than permitted. The Platform does not request, review or verify these documents; the Partner warrants they are valid.9. Minimum age and published policies
The Partner shall enforce the minimum age shown on the event page, and never below the age Egyptian law requires for its activity. Every policy the Partner publishes on its event page — refunds, dress code, guests — is treated as part of what the Partner owes the customer and shall be honoured as published.10. Cancellation by the Partner
If the Partner cancels or fails to run an event, or refuses entry to a customer holding a valid ticket without lawful cause, the Platform refunds customers in full and deducts the amount from the Partner's balance. The Platform may also deduct the payment fees it incurred on those bookings.11. Refunds to customers
The refund policy published on the event page applies. To protect its reputation the Platform may also refund a customer in cases of a justified complaint or an obvious error, and deduct the refund from the Partner's balance where the cause of the refund is attributable to the Partner.12. Indemnity
The Partner indemnifies the Platform against any claim, action, fine or legal cost arising from the Partner's events or breach of this agreement.13. No circumvention
The Partner may not take customers introduced by the Platform to direct booking channels, or give them direct contact details for the purpose of booking off-platform. Breach requires payment of the commission due plus a penalty, and the Platform may terminate immediately.14. Customer data and its protection
Customer data belongs to the Platform. The Partner receives the guest name and ticket number only, for door entry. The Partner may not use that data for any marketing purpose, retain it after the event, or pass it to any third party.15. Taxes
Each party is responsible for its own taxes. The Partner's balance is paid out in full with no tax withheld by the Platform, and the Partner is responsible for declaring its income from the Platform.16. Term and termination
This agreement runs from the date of signature for an indefinite term. Either party may end it on 14 days' notice. In every case, bookings already made are honoured up to the event date and the Partner's balance for them is paid out on the usual schedule.17. Suspension
The Platform may suspend the Partner's account or any of its events immediately in the event of danger to customer safety, a serious complaint, suspected fraud, or breach of this agreement. The Partner is told the reason.18. Electronic signature
The Partner agrees that pressing the confirmation button in their dashboard constitutes a binding electronic signature within the meaning of Egyptian Electronic Signature Law No. 15 of 2004. The Platform keeps a record proving: the version number of the agreement, the fingerprint of its text, the commission rate and payout period at the moment of signing, the date and time of signature, and the internet address it was made from. A copy of the signed agreement is emailed to the Partner.19. Amendment
Any amendment to this agreement is issued as a new numbered and dated version. The Partner remains bound by the version they themselves signed, in its own wording, until they sign a newer one. A version may not be altered after it is published.20. Governing law
Egyptian law governs this agreement, and the Cairo Economic Court has jurisdiction over any dispute. The Arabic version prevails in the event of any difference in translation.If we ever change the commission, you are told in your dashboard and by email, and you have 14 days to accept or refuse. Whatever you decide, any booking already paid for is settled at the old rate.
