Terms of Service

1. Platform Nature & Technical Intermediary Status

YallaTonight (hereinafter "the Platform", "we", "us") is a technology service provider and technical intermediary only. The Platform provides digital infrastructure for the discovery, booking, and payment facilitation of events organized by independent third-party partners ("Organizers" or "Partners").

YallaTonight does not own, operate, manage, or directly provide any event, entertainment, club, disco, yacht service, safari trip, or any other activity listed on the Platform. All events are organized and operated exclusively by independent Partners who have agreed to the Platform's Partner Code of Conduct.

By accessing or using the Platform in any manner, you expressly acknowledge and agree that you are entering into a commercial relationship with the independent Organizer of the event — not with YallaTonight. YallaTonight's sole role is to provide the technical booking and payment infrastructure.

If you do not agree with these Terms in their entirety, you must immediately cease use of the Platform.

2. User Eligibility & Account Responsibility

You must be a minimum of 18 years of age to use the Platform. By registering or making a booking, you represent and warrant that you are at least 18 years old and legally capable of entering into a binding agreement under the laws of the Arab Republic of Egypt.

You agree to provide complete, accurate, and truthful information during registration and at every booking. You bear sole responsibility for:

The security and confidentiality of your account credentials.
All activities conducted through your account, whether authorized by you or not.
Any bookings, payments, or actions taken using your login session.

YallaTonight shall not be liable for any loss, damage, or liability arising from your failure to maintain account security or from unauthorized use of your credentials.

3. Booking Process, Payments & Platform Commission

All bookings on the Platform are subject to real-time availability as declared by the independent Organizer. The Platform facilitates payment processing through authorized third-party payment gateways (Paymob, Fawry, InstaPay). YallaTonight is not a payment institution and does not hold or control user funds directly.

A non-refundable platform service fee and commission is applied to every transaction. This commission represents compensation for the use of the Platform's technical infrastructure and is deducted at the time of booking regardless of subsequent event outcomes. The service fee is disclosed prior to payment confirmation.

Ticket prices are determined exclusively by the Organizer and displayed transparently during checkout. YallaTonight does not set, control, or guarantee event pricing beyond what is displayed on the Platform at the time of booking.

Upon successful payment processing, the Platform will issue a digital ticket bearing a dynamic anti-counterfeit QR code. This ticket constitutes proof of your reservation with the Organizer and does not represent a contract with YallaTonight.

4. Cancellations, Refunds & Platform Non-Liability

Cancellation and refund entitlements are determined solely by the cancellation policy published by each individual Organizer at the time of booking. YallaTonight facilitates the technical execution of refunds where applicable but bears no financial liability for event cancellations, postponements, or modifications initiated by the Organizer.

Under no circumstances shall the Platform's service commission be refunded, as it represents compensation for technical services already rendered at the point of booking completion — irrespective of whether the event takes place or not.

If an Organizer cancels an event, any refund (excluding the platform commission) shall be processed by the Organizer via the Platform mechanism within the timeframe specified by the Organizer's policy. YallaTonight will make commercially reasonable efforts to facilitate this process but assumes no guarantee of the Organizer's financial solvency or compliance.

Disputes regarding event quality, cancellation, or service failure must be addressed directly to the Organizer. YallaTonight may, at its sole discretion, mediate such disputes but is under no legal obligation to do so.

5. Partner Obligations & Code of Conduct

All Partners who list events on the Platform are bound by a mandatory Partner Code of Conduct, which constitutes an integral part of their agreement with YallaTonight. Key obligations include:

Prohibition of External Contact Solicitation: Partners are strictly and irrevocably prohibited from including, in any event listing, description, profile, vibe, or communication channel within the Platform, any telephone number, WhatsApp number, email address, social media handle, URL, QR code linking to external services, or any other method designed to redirect Platform guests to conduct transactions outside of YallaTonight. Any attempt to circumvent this rule constitutes a material breach of contract.
Consequences of Breach: Upon detection of any prohibited external contact information — whether by automated system or manual review — the Partner's account shall be subject to: (i) immediate removal of the offending content; (ii) temporary or permanent suspension of the account; and (iii) forfeiture of all pending balances and commissions held within the Platform's escrow, without right of appeal or compensation, as agreed liquidated damages for the breach.
Legal Compliance: Each Partner is solely and exclusively responsible for obtaining all required government licenses, tourism authority permits, safety certificates, and local authority approvals applicable to their specific event type (nightclub, yacht, safari). YallaTonight makes no representation that any listed event is legally compliant and bears no liability for the Organizer's failure to obtain or maintain required permits.
Accuracy of Information: Partners are solely responsible for the accuracy of event details, including date, time, location, pricing, age restrictions, and capacity limits. YallaTonight publishes Partner-submitted information in good faith and bears no liability for inaccuracies.

6. Limitation of Liability & Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE EGYPTIAN AND INTERNATIONAL LAW, YALLATONIGHT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS HEREBY EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

The quality, safety, legality, or suitability of any event listed on the Platform.
The accuracy, reliability, or completeness of any information provided by Organizers.
Any personal injury, bodily harm, death, property damage, or financial loss occurring at or in connection with any event booked through the Platform.
Any indirect, incidental, special, consequential, or punitive damages, including loss of enjoyment, arising from Platform use or event attendance.
Any failure of an Organizer to deliver the event as described, or at all.

IN NO EVENT SHALL YALLATONIGHT'S TOTAL AGGREGATE LIABILITY TO ANY USER EXCEED THE ACTUAL NET AMOUNT PAID BY THAT USER TO THE PLATFORM (EXCLUDING ORGANIZER AMOUNTS) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You expressly acknowledge that you attend events at your own risk and that YallaTonight has no operational control over the physical environment, safety measures, or conduct of any event venue or activity.

7. Force Majeure

YallaTonight shall not be held liable for any delay, failure, or inability to perform any obligation under these Terms resulting from causes beyond its reasonable control, including but not limited to:

Acts of God, natural disasters, pandemics, or epidemics;
Government actions, decrees, regulations, embargoes, or curfews;
War, armed conflict, civil unrest, terrorism, or sabotage;
Failure of internet infrastructure, telecommunications networks, or third-party payment systems;
Power outages, cyber-attacks, or denial-of-service attacks;
Any other event beyond YallaTonight's direct operational control.

In force majeure events, any platform service commission already collected shall not be subject to refund. Organizer-related refunds remain the sole responsibility of the Organizer.

8. Governing Law, Jurisdiction & Dispute Resolution

These Terms of Service shall be governed by and construed exclusively in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the competent courts of Hurghada City, Red Sea Governorate, Arab Republic of Egypt. By using the Platform, all users irrevocably submit to the personal jurisdiction of these courts and waive any objection to such jurisdiction on grounds of inconvenience or otherwise.

Prior to initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through the Platform's support system for a period of no less than thirty (30) calendar days.

YallaTonight reserves the right to amend these Terms at any time. Material changes will be communicated via the Platform. Continued use after publication of amended Terms constitutes unconditional acceptance.
